LAKE FOREST, Calif, May 28, 2020 (GLOBE NEWSWIRE) — ToughBuilt Industries, Inc. (“ToughBuilt” or the “Company”) (NASDAQ: TBLT; TBLTW), an advanced product design, manufacturer and distributor with emphasis on innovative products, currently focused on tools and other accessories for the professional and do-it-yourself construction industries, today announced the pricing of an underwritten public offering of 18,000,000 shares of its common stock (or pre-funded warrants to purchase common stock in lieu thereof) and warrants to purchase up to 18,000,000 shares of the Company’s common stock. Each share of common stock or pre-funded warrant is being sold together with a warrant to purchase one share of common stock. The combined purchase price for one share of common stock and warrant to purchase one share of common stock will be $1.00. Gross proceeds, before underwriting discounts and commissions and estimated offering expenses, are expected to be approximately $18.0 million.

The warrants will be immediately exercisable at a price of $1.00 per share of common stock and will expire five years from the date of issuance. The offering is expected to close on or about June 2, 2020, subject to customary closing conditions.

Maxim Group LLC is acting as lead managing underwriter and Joseph Gunnar & Co. is acting as joint-bookrunning underwriter in connection with the offering.

Toughbuilt also has granted to the underwriters a 45-day option to purchase up to an additional 2,700,000 shares of common stock and, or Pre-funded warrants in lieu thereof, and/or warrants to purchase up to 2,700,000 shares of common stock at the public offering price, less discounts and commissions.
